Independent Distributor Application Terms

I hereby submit my Independent Distributor Application to become an Independent Member or Distributor (hereinafter referred as Distributor) with KuabCha, Inc. (hereinafter referred to as the Company), and hereby state and agree as follows:

The KuabCha policies include but are not limited to the Company’s Polices and Procedures, Return And Refund, Compensation Plan, and Independent Distributor Application (hereinafter referred to as Agreement).

Your signature or online web enrollment of this Independent Distributor Application constitutes your agreement that this agreement apply to the KuabCha Agreement. You agree that you have read and understand the KuabCha Agreement and that your membership as an Independent Member or Distributor shall be in accordance with the terms and conditions contained in this Agreement. If you do not agree to this Agreement, please do not register to become an Independent Member or Distributor.

I understand that no purchase is necessary to become a KuabCha member other than an annual membership fee of $29.99 and a one time fee for my Personal Replicated Website & Backoffice of $19.99. As part of my Membership, I understand that KuabCha is providing one Gift Special (One Tea & One tea 3 Piece Tea Maker) for free. I understand that my Membership package does not pay any commissions. Further, I understand that I will be required to purchase the Company TeaStarter kit including any taxes, shipping and handling charges (one-time order) in order to become a Distributor of the company. I understand that if I purchased the Company TeaStarter Kit, I do not have to purchase the Membership package. I understand that a Membership renewal fee of $29.99 is applicable 12 months from when my Independent Distributor Application has been valid and accepted by KuabCha.

I am of legal age, in the state, or country in the jurisdiction in which I reside.

I will become a KuabCha Member or Distributor upon acceptance of this Independent Distributor Application by the Company. This Agreement will be deemed accepted by the Company upon actual receipt of the signed original or faxed version by an officially authorized employee of the Company or a completed online registration and processed. Further, I understand my Independent Distributor Application is at the sole discretion of the Company and for any or no reason may refuse to accept my Independent Distributor Application for Membership or Distributorship.

As a member, I understand I cannot earn any commissions, bonuses, or rewards. I understand I can purchase KuabCha products at wholesale price and I am not required to make any purchases except what is required in this Agreement.

As a Distributor, I understand I will be eligible to participate in the selling and distribution of goods and services in accordance with the Company’s Policies and Procedures, and Compensation Plan. I understand that I may be able to receive commissions and bonuses with sales of products or services.

I shall provide the Company with accurate, complete and updated information about myself including an accurate name, mailing address, phone numbers, social security number and other information stated on the Independent Distributor Application. I understand that I may not (i) use more than one Member or Distributor account; (ii) any information of another person; (iii) use false or misleading information to be use as a Member or Distributor account.

I understand I shall comply with all laws, rules, and regulations that are applicable to the Independent Distributor Application. I acknowledge that I may only participate in the Company program if and to the extent that such participation is permitted by such laws, rules, and regulations.

With my Membership, I am an Independent Member or Distributor for all purpose and do not constitute an employee-employer Relationship, Agency, Partnership, Franchise, legal representative, or Joint venture between myself and the Company. I agree and understand to pay all applicable federal and state income taxes, self employment taxes, sales taxes, local taxes, and local license fees that may be associated with my activities under this Agreement. Any additional tax and fees if applicable shall be borne by me exclusively.

I understand that my success as an Independent Distributor is dependent upon my own efforts and skills. I also agree that the Company does not guarantee any income or success. I agree to hold the Company harmless for any and all injury incurred, either financially or personally, as a result of my activities. I understand and agree my commission from the Company is established by my Distributorship that operates in compliance with Company Policies and Procedures, and the terms and conditions stated herein. I hereby acknowledge that I have access to Policies and Procedures including the Compensation Plan of the Company. I understand that my commissions will consist solely of commissions and/or bonuses, relating to the sale or other output deride from in-person sales, solicitations or orders from other Independent Members or Distributors in my organizational tree. I understand the Company commission payout system and agree that commissions could only be earned through sales of the Company’s goods or services and not by recruiting new members or distributors. I also agree to only selling methods which are within the guidelines and requirements of this Agreement.

I understand that commission benefits of my personal purchases of commissionable KuabCha products go to my direct sponsor and or other upline “Active” distributors in my upline organization tree and a portion towards the Global Bonus Pool under the rules of the Company Compensation Plan, as published in the Company Policies and Procedures.

I understand and agree that I will make no statements, disclosures, or representations in selling the Company’s goods or services or in the sponsoring of other Independent Members or Distributors other than those contained in approved Company materials. I understand and agree not to promote using the Company name, or the trade names, logos, copyrighted material, trade marks or service marks, written, printed, or any other material in advertising, promoting or describing the products of the Company except in materials provided and approved by the Company. Further, I understand and agree that unauthorized use or duplication of trademarks or copyrighted materials is a violation of federal law.

I agree not to re-package or re-label the Company’s goods or services or to sell goods or services under any other name or label. I agree to use only the original form of any products, materials, and services approved by the Company. I hereby consents and authorize the use of my name, voice, written comments or documentation provided to the Company or obtained by the Company for use of Company products or services, for marketing development. I agree that any testimonial or endorsement of the Company products or other personal participation is made of my own free will and that I have not and will not be paid any monetary sum for doing so.

As a Distributor, I understand that my Distributorship is valid only in those specific countries in which I have already been individually approved. I understand that that approval to sponsor in one country does not constitute or guarantee approval to sponsor in any other country.

I understand that I am responsible for supervising, empowering and supporting all other Independent Distributors in my organizational tree and furthermore, I agree to support those Independent Distributors by way of any of the following methods such as training of the Company literatures, providing leads, opening communications and dialog, and attending meetings of their Independent Members or Distributors.

I understand and agree that I may not convey, assign or otherwise transfer any rights arising hereunder without the prior express written consent of the Company. I understand and agree that upon death, the rights and responsibilities of my Independent Distributor Application is passed on the rightful nominee as per the law in the state of California. The nominee shall be bound by the terms and conditions of the original Independent Distributor Application and abide by such rules and regulation. I understand that my Distributorship cannot be sold, assigned or transferred to any person without the prior written consent of the Company. The Company reserves the rights to decline such offerings without having to assign any reason.

I understand that a $29.99 annual Membership renewal fee is required to maintain a membership or distributorship. I also understand that the $29.99 annual membership and the $19.99 Personal Replicated Website & Backoffice fee are non-refundable. I understand and agree that the Company may establish the renewal process and/or fees at any time and I further understand and agree to be bound by such modification by the Company.

I agree that the Company have the discretion to amend the Company program, plan, rules & regulation, policies & procedures, terms and conditions from time to time. The Company shall have the right to make any changes, if necessary at any time without any prior information and I am to be bound by such modifications immediately upon publication in official Company literature.

I understand that that federal or states agencies do not approve or endorse marketing programs. Therefore, I agree that I will not represent that the Company, its products, or program have been approved or endorsed by any governmental agency.

The terms of this Agreement is perpetual unless terminated by the Company or by myself. The Company may terminate my Independent Distributor Application membership or Distributorship if found that I am representing any other company or any similar nature of business. I understand that either party to this Independent Distributor Application may terminate this agreement by giving written notice to the other party. The laws of the state of California govern this Independent Distributor Application, and the parties agree that proper jurisdiction and venue shall be in the state and federal courts of California. This Agreement shall be binding on the successors and assigns of both parties. I understand and agree that this Independent Distributor Application, including the Company’s Policies and Procedures, and Compensation plan, incorporated herein by reference, constitute the entire agreement between the parties hereto. I have read this Agreement and I acknowledged receiving a copy of this document or have checked the Company Policies and Procedure and Independent Distributor Application terms and conditions “BOXES” online at the time of online registration and agree to abide by and be bound by the terms contained therein.

I understand that I authorize KuabCha to use my name, photographs, and personal story in advertising or promotional materials and waive all claims for remuneration for such use.

I understand that if I chose to bring an action against KuabCha for any act arising from this Agreement, I must do so within one calendar year from the date of alleged conduct. Further, I understand that I waive all claims that any other statutes of limitation apply.

I understand that if any provision of the Agreement is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the balance of the Agreement will remain in full force and effect.
